Terms of Service

1. Acceptance of Terms

These Terms govern the ReplyPilot website and use of a ReplyPilot installation. ReplyPilot is self-hosted software provided by Waldok Solutions LLC. A purchased software license is also governed by the ReplyPilot End-User License Agreement ("EULA"); the EULA controls if it conflicts with these Terms regarding the licensed software.

These Terms apply to all visitors, users, and others who access or use the Service.

2. Service Description

ReplyPilot is a self-hosted, AI-assisted email and review reply-management application that enables authorized users to:

• Generate AI-assisted email and review reply drafts
• Connect and manage multiple email accounts (Gmail, IMAP/SMTP)
• Manage and respond to Google Business Profile reviews
• Access unified inbox for all communications
• Use multiple AI providers (OpenAI, Gemini, Claude)
• Review and approve every reply before it is sent or posted

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. Account Registration

3.1 Account Requirements

• You must be legally able to enter these Terms and authorized to act for the applicable business or organization
• Accounts are created or managed by an authorized installation administrator; public registration is not offered by default
• You are responsible for maintaining the security of your account
• You are responsible for all activities under your account

3.2 Account Security

• Keep your password secure and confidential
• Notify the installation administrator promptly of suspected unauthorized access
• Use only the roles, mailboxes, profiles, and business data you are authorized to access

4. Acceptable Use

You agree NOT to use the Service to:

• Violate any laws, regulations, or third-party rights
• Send spam, malicious content, or misleading emails
• Harass, abuse, or harm other users or individuals
• Impersonate any person or entity
• Distribute malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Scrape, copy, or harvest data from the Service
• Use the Service for illegal or unauthorized purposes
• Violate email provider terms of service (Gmail, IMAP/SMTP)

5. User Content

5.1 Your Responsibilities

You are solely responsible for:

• All email responses you send through the Service
• Ensuring your content doesn't infringe on third-party rights
• Reviewing AI-generated responses before sending
• Compliance with all applicable laws and regulations

5.2 License to Use Your Content

You retain ownership of your content. You authorize the installation operator and configured providers to store and process content only as needed to provide requested ReplyPilot features. Waldok Solutions does not automatically receive content from independently self-hosted installations.

5.3 AI-Generated Content

Content generated by AI tools may not be unique. You are responsible for reviewing and editing AI-generated responses before sending. We make no guarantees about the accuracy, quality, or appropriateness of AI-generated content.

6. Intellectual Property

ReplyPilot software, branding, interfaces, and documentation are owned by Waldok Solutions LLC or its licensors and are protected by applicable intellectual-property laws. Your installation and use rights are defined by the EULA.

You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

7. Email Integration

When you connect your email accounts to ReplyPilot:

• You must comply with your email provider's Terms of Service
• You authorize the installation to read connected mailbox data and send only replies that an authorized person has approved
• You are responsible for reviewing recipients and final content before approving email or review replies
• You can disconnect your email accounts at any time
• We are not responsible for changes to email provider APIs or policies

Gmail, Google Business Profile, Outlook, and other provider names are trademarks of their respective owners. ReplyPilot is not affiliated with or endorsed by Google, Microsoft, or any email provider.

8. Payment & Fees

8.1 Pricing

ReplyPilot is offered under a one-time software license at the price displayed at checkout. Hosting, domain, email-provider, AI-provider, installation, and other third-party costs are not included unless expressly stated.

8.2 Payment Terms

• The EULA currently provides a seven-day money-back guarantee subject to its eligibility requirements
• Payment is processed by Stripe or another identified third-party payment processor
• You are responsible for any applicable taxes
• License delivery or activation may be withheld when payment is incomplete, reversed, or fraudulent

9. Termination

9.1 Termination by You

An authorized administrator may disable or remove users and connected accounts from an installation. You may stop using the software, revoke connected-provider access, or request assistance at support@waldoksolutions.com. Local data remains controlled by the installation operator and its retention settings.

9.2 Termination by Us

Waldok Solutions may terminate a software license as permitted by the EULA if you:

• Violate these Terms of Service
• Engage in fraudulent or illegal activities
• Abuse the Service or other users
• Fail to pay required fees

10. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Results obtained from the Service will be accurate or reliable
• AI-generated content will meet your requirements
• Defects will be corrected

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WALDOK SOLUTIONS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Business interruption or system failures
• Damages arising from your use or inability to use the Service
• Third-party actions or content

Our total liability shall not exceed the amount you paid us in the last 12 months, or $100, whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless Waldok Solutions and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Emails you send through the Service

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

• Posting the updated Terms on this page
• Updating the "Last Updated" date
• Sending you an email notification (for significant changes)

Your continued use of the Service after changes indicates acceptance of the updated Terms. If you do not agree to the new Terms, you must stop using the Service.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Orange County, California, unless another controlling agreement or applicable law requires otherwise.
